4. Terms and conditions
Please read these terms carefully. By accessing this website, booking a session, making a payment or using any service, you agree to be bound by them. If you do not agree, do not use the website or the services.
- Parties and meaning of "we". The services are provided by Fastrack Financial Solutions LLP (LLPIN ACW-7725), Kolkata ("Fastrack", "we", "us"), which carries on business under the brand name "Badho MSME". Badho MSME is a brand name only and not a separate legal entity. "You" means the person or business that uses the website or buys a service, and any person acting on its behalf. You confirm that you are at least 18 years old and, if you act for a business, that you are authorised to bind it.
- Scope of services. We provide advisory, documentation and compliance-support services only, limited to what is expressly agreed in writing (the booking confirmation, payment page, invoice or engagement letter). We have no duty to do anything outside that scope. Where an engagement letter is signed, it prevails over these terms to the extent of any conflict.
- No guarantee of outcome. We do not promise, assure or guarantee that any loan, credit limit, interest rate, scheme, subsidy, registration, licence or other benefit will be sanctioned, approved, released or renewed, or that any particular timeline, amount or result will be achieved. All such decisions are taken independently by the lender, authority or other third party concerned, and we have no control over them. Statements, figures, track-record claims and testimonials on the website relate to past engagements, are for general information only, and are not a representation or guarantee of future results.
- Not a regulated financial institution. We are not a bank, NBFC, lender, deposit-taker, investment adviser or government body. We do not lend money, accept deposits, take credit decisions or collect loan repayments. Unless expressly stated in a signed written agreement, we do not act as your agent, representative, guarantor or fiduciary, and you must not treat any communication from us as such.
- Not audit, legal, tax or investment advice. Unless you have separately engaged us in writing for that purpose, nothing on the website or said in a call, session, message or calculator is an audit, attestation, legal opinion, formal tax opinion, or investment advice. You should take independent professional advice on your specific facts before acting. Laws, scheme terms, thresholds, rates and due dates change often, and you are responsible for verifying them with the official source.
- Your information and documents. Our work depends entirely on what you tell us and the documents you give us. You warrant that all information and documents you provide are true, complete, accurate, genuine, current and lawfully obtained, and that you have the right to share them. We do not audit or independently verify them, and we are not responsible for any outcome arising from information that is false, incomplete, outdated or forged. We may refuse or stop work, without refund of fees for work already done, if we suspect any misstatement, illegality or non-cooperation.
- Your decisions and responsibility. You alone decide whether to apply for, accept, sign or act on any loan, facility, scheme, registration or advice. You must read and understand every application, agreement, sanction letter, declaration and filing before you sign or submit it, and you are solely responsible for what you sign, submit, repay, comply with and disclose. Submissions are made in your name, and you remain responsible for their contents and for all dealings with lenders and authorities.
- Legal compliance. You will use the services only for lawful purposes and in compliance with applicable law, including laws on anti-money laundering, KYC, taxation, banking and fair dealing with lenders. We may decline, suspend or end any engagement, and share information with authorities, where we believe it is required by law or necessary to prevent fraud or illegality.
- Fees, payment and taxes. Fees are as described under Pricing details, payable in advance for fixed-fee sessions or as set out in the engagement letter. Fees are exclusive of GST and other taxes unless stated otherwise. Unless stated otherwise in writing, fees are payable for our work regardless of the outcome of any application, and are not conditional on any sanction or approval. You must pay without set-off or deduction. Online payments are made through Razorpay and are also subject to Razorpay's terms. We may suspend work for non-payment.
- Cancellation and refunds. These are governed exclusively by the Cancellation and refund policy on this page, which forms part of these terms.
- Third-party fees. If we receive any fee or commission from a lender or other third party in connection with your matter, we will tell you before you proceed.
- Confidentiality and consent to share. We keep your business and financial information confidential. You authorise us to share it with the lenders, banks, authorities and service providers that you ask us to approach or that are reasonably necessary to carry out the agreed work, and we may also disclose it where required by law. You are responsible for obtaining any consent needed from other individuals whose information you give us. Our Privacy policy also applies.
- Calculators, tools and website content. The calculators, quizzes, checklists, scanners, guides and other content on the website give indicative results only, are provided "as is" and "as available", and are not an offer, sanction, quote or advice on your specific case. We do not warrant that the website will be uninterrupted, secure, error-free or current. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement.
- Intellectual property. The website, its content, design, tools, trade names and brand, and the reports and documents we prepare, are owned by us or our licensors. Documents prepared for you are for your own internal business use for the purpose for which they were prepared. You may not copy, resell, republish, scrape, reverse engineer or commercially exploit any of it without our prior written permission.
- Acceptable use. You must not misuse the website, interfere with its operation, attempt unauthorised access, submit false or unlawful content, or use it in any manner that infringes the rights of others.
- Accounts. You may create a free account on badhomsme.com with your email and a password, or with your Google account. You must give true details, keep your password private and not share your account, and you are responsible for activity under it. Accounts for advisory clients may be created by our team; you then set your own password through a one-time link, and our staff never see your password. We may suspend or close an account that is misused, shared, or used to copy or redistribute our material. You may delete your account at any time from My Account > Profile & security.
- Buying without an account. You may buy a service on this website without logging in. You must give a correct name, email and mobile number, because we use them to confirm the payment and deliver the service. If you later create an account with the same email, the purchase is added to it.
- Paid plans and member resources. Where we offer a paid plan, it gives access to the resources and benefits described at checkout for the period purchased. Paid plans do not renew automatically; we remind you before they end. Resources are general information for your own business use and may not be shared, resold or published.
- Work with a delivery period. For project reports, Virtual CFO assignments and registrations, the delivery period stated for that service starts on the day we receive your completed details form and the documents asked for, and is counted in working days. Finished work is sent to you on WhatsApp or by email. Delays caused by missing information, third-party portals or authorities do not count towards the delivery period.
- Files you upload. Files you upload to your account must be your own or ones you are authorised to share, no larger than 20 MB each, and free of malware.
- Reports in your account. Reports prepared for a client are confidential to that client. After an engagement ends, they stay available in your account for 30 days and are then archived; copies can be requested from your advisor.
- Booking a consultation. After payment you choose your slot on badhomsme.com from the times shown (at least 24 hours ahead and up to 30 days ahead). The call happens on Google Meet; the link and calendar invite are emailed to you, with reminders one day and one hour before. You can reschedule or cancel from the link in your email up to 12 hours before the slot. A free consultation (Guruship) is limited to one open booking per mobile number.
- The MSME Club (the Badho MSME Membership). Membership of The MSME Club is sold as an annual plan or a 30-day pass and starts on the day of payment. It does not renew automatically; we remind you before it ends. Benefits are those listed in My Account at the time of purchase and may include: a monthly Members Live session, one 1:1 consultation (15 minutes) in each calendar quarter, which lapses if not used in that quarter, filing-date reminders, schemes matched to your profile, a CC/OD rate review and priority WhatsApp support. Reminders are a convenience: statutory deadlines remain your responsibility, and you should verify any date extension on the official portal. An early-bird price applies only while early-bird seats are available and before the early-bird end date shown; if you renew before your membership ends, the price you paid continues for that renewal. Membership is personal to the account holder and its sessions and resources may not be shared or recorded.
- Loan enquiries and our role. Badho MSME is not a bank, NBFC or lender, and does not take deposits or lend money. For loans, we act as a Direct Selling Agent (DSA) / loan facilitator with banks and NBFCs and may receive a commission from the lender on loans they sanction; we will tell you which lender your file goes to before we submit it. Any professional fee for preparing your file is agreed with you in writing before work starts and is payable only on sanction. The lender alone decides whether to lend, how much, the interest rate, fees and security, and we do not guarantee any sanction, amount or rate. Estimates shown on our loan page are indicative and are not an offer. We will never ask for your OTP, UPI PIN, card details or net-banking password, and no one from Badho MSME will ask you to pay money to a personal account to “get a loan approved”.
- Indemnity. To the fullest extent permitted by law, you will indemnify and hold harmless Fastrack, its partners, designated partners, employees, associates and representatives from and against all claims, demands, proceedings, losses, liabilities, penalties, costs and expenses (including reasonable legal fees) arising out of or in connection with: (a) any information or document you supply; (b) your breach of these terms or of any law; (c) your acts or omissions, or your dealings with any lender, authority or third party; or (d) any claim by a third party relating to your use of the services.
- Limitation of liability. To the fullest extent permitted by law: (a) we are not liable for any indirect, incidental, special, punitive or consequential loss, or for any loss of profit, revenue, business, goodwill, opportunity, credit facility, subsidy or anticipated savings, however arising; (b) we are not liable for any act, omission, delay, rejection, charge, penalty, recall, rate change or decision of any lender, authority, bank, payment provider or other third party, or for failure of any third-party system or service; and (c) our total aggregate liability for all claims arising out of or relating to a service, whether in contract, tort (including negligence), statute or otherwise, will not exceed the fees actually received by us for that specific service. Nothing in these terms excludes or limits liability for fraud or wilful misconduct, or any liability that cannot lawfully be excluded or limited.
- No partnership or agency. Nothing in these terms or our dealings creates a partnership, joint venture, agency, employment or fiduciary relationship between you and us.
- Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including natural disaster, epidemic, fire, strike, war, riot, government or regulatory action or change in law, bank, portal or network outage, power or internet failure, or failure of third-party systems (including GST, MCA, Udyam and lender portals, Razorpay, Google and WhatsApp).
- Notice of claim and opportunity to remedy. Before starting any legal proceeding against us, you must send us a written notice describing the claim in reasonable detail within 30 days of becoming aware of it, and give us at least 30 days from receipt to remedy it.
- Dispute resolution and arbitration. The parties will first try in good faith to settle any dispute through discussion for 30 days from the written notice. Any dispute that is not settled will be finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by mutual consent (or, failing agreement within 15 days, by the court of competent jurisdiction). The seat and venue of arbitration will be Kolkata, the language will be English, and the award will be final and binding. Subject to this, the courts at Kolkata, West Bengal have exclusive jurisdiction over any matter that goes to court, including interim relief and enforcement. This clause does not take away any right or remedy that applicable law (including the Consumer Protection Act, 2019) gives you and that cannot be waived by agreement.
- Governing law. These terms and all dealings between you and us are governed by the laws of India.
- Electronic communication and records. You consent to our contacting you by phone, SMS, email and WhatsApp about your enquiry or engagement. Electronic records, messages, call logs, booking and payment records maintained by us or our service providers are valid evidence of the dealings between us.
- Subcontracting and assignment. We may engage associates, professionals and service providers to deliver the services, and we remain responsible for the engagement to the extent stated in these terms. You may not assign or transfer your rights or obligations without our written consent. We may assign these terms to a successor of our business.
- General. These terms, together with the Privacy policy, the Cancellation and refund policy and any engagement letter, are the entire agreement between you and us on the subject. If any provision is held invalid or unenforceable, the rest remains in force and the provision will be enforced to the maximum extent permitted. Our failure to enforce any right is not a waiver. Clauses that by their nature should survive termination (including those on fees, indemnity, limitation of liability, confidentiality, intellectual property and dispute resolution) will survive.
- Changes. We may revise these terms at any time by posting the updated version on this page with a new "last updated" date. Your continued use of the website or services after that date means you accept the revised terms. The version in force on the date you book or pay applies to that purchase.
- Notices. Notices to us must be sent in writing to Fastrack Financial Solutions LLP, Flat No. 18, Poddar Court, Rabindra Sarani, Kolkata – 700001, West Bengal, with a copy to contact@badhomsme.com.
